These Terms of Service ("Terms") are a contract between demelos LLC ("demelos", "we") and the entity or individual that subscribes to the Klees product ("Customer", "you"). By signing up or using the Service you agree to these Terms.

1. The Service

"Service" means the Klees time tracking and field-operations platform, including web admin, mobile applications, and APIs.

2. Account and access

You must provide accurate registration data. You are responsible for activity under your account and credentials. You must promptly notify us of any unauthorized access.

3. Subscription plans and billing

Standard — $32 USD per month base + $7 USD per user per month. Billed monthly.
Pro — $48 USD per month base + $9 USD per user per month. Billed monthly.
Enterprise — $600 USD per month flat for up to 100 users on a 12-month minimum commitment. $6 USD per additional user per month.

All plans include a 30-day free trial without credit card requirement (Standard, Pro). Fees are exclusive of applicable taxes. Late payments accrue interest at 1.5% per month or the maximum permitted by law.

4. Cancellation and refunds

Standard and Pro subscriptions may be canceled at any time and will end at the close of the current billing period. Enterprise contracts may be canceled per the contract's stated terms. Fees already paid are non-refundable except as required by law.

5. Customer data and ownership

You retain ownership of all data you submit to the Service ("Customer Data"). You grant demelos a limited license to host, process, and display Customer Data solely to provide the Service.

6. Acceptable use

You must not (a) reverse engineer the Service, (b) use the Service to violate any law, (c) interfere with the Service's security or operation, (d) misuse another user's account, or (e) use the Service to send unsolicited communications.

7. PinShot and biometric data

If you enable PinShot, you are the data controller of any biometric data collected from your end users. You represent that you have obtained any required notices and consents under applicable biometric privacy laws including but not limited to BIPA (Illinois), Texas Business and Commerce Code, Washington HB1493, and CCPA / CPRA. demelos acts as a service provider / processor with respect to such data.

8. Third-party integrations

The Service integrates with third-party services (e.g., QuickBooks, ADP). Your use of those services is governed by their terms. We are not responsible for third-party service availability, accuracy, or data practices.

9. Intellectual property

The Service, including software, trademarks, and content (excluding Customer Data), is the property of demelos LLC. No rights are granted except those expressly stated in these Terms.

10. Confidentiality

Each party will protect the other party's confidential information with reasonable care and use it only to perform under these Terms.

11. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT AS REQUIRED BY LAW. demelos DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, demelos'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. demelos WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

13. Indemnification

You will defend and indemnify demelos against any third-party claim arising from (a) your use of the Service in violation of these Terms, (b) Customer Data, or (c) your noncompliance with biometric or labor law.

14. Term and termination

These Terms remain in effect while you have an active account. We may suspend or terminate for material breach, nonpayment, or extended inactivity. Upon termination, you may export your data within 30 days; after that we may delete it subject to legal retention requirements.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Miami-Dade County, Florida.

16. Changes to the Terms

We may update these Terms. Material changes will be announced at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
